AiGenda Terms of Service

Version of 16 October 2026. Effective from the date of publication at https://aigenda.tech/en/terms. These Terms are the English version of the Russian public offer «Договор-оферта на оказание услуг в области информационных технологий». If the versions differ, the Russian version prevails.

These Terms are a contract between you and AiGenda LLC (ООО «Айдженда», OGRN 1247800111041, INN 7810967166; "AiGenda", "we", "us").

1. Definitions

1.1. Service means AiGenda: our software that turns audio and video recordings of meetings into transcripts and meeting notes, and the channels through which you access it: the website https://aigenda.tech/en, other pages and subdomains of aigenda.tech, including the web app https://personal.aigenda.tech/en; the API at https://api.aigenda.tech; the Telegram bot @AigendaBot; the Extension; and the Bot.

1.2. User ("you") means a person who has accepted these Terms.

1.3. Account means your user account in the Service.

1.4. Workspace means the part of an Account where Materials are stored. Team Workspace means a Workspace to which its owner has given other Users access.

1.5. Recording means an audio or video file of a meeting or conversation that you add to the Service by any means: by uploading a file, by link, or through the Telegram bot, the Extension, the Bot or an Integration.

1.6. Results means transcripts, meeting notes and other output that the Service produces from a Recording.

1.7. Materials means Recordings, Results, meeting titles, participants' names and other data you add to a Workspace.

1.8. Meeting Participant means any individual other than you whose voice, image or other data is contained in a Recording or in meeting data.

1.9. Extension means the AiGenda Recorder extension for Chromium-based browsers, which, when you start it, records audio from a browser tab and from your microphone and uploads the Recording to the Service.

1.10. Bot means our software that, on your command, joins an online meeting on a third-party video-conferencing platform as a participant, records the meeting and delivers the Recording to the Service.

1.11. Integration means a connection you make between the Service and your account with a third-party service (such as Google Calendar or Yandex Calendar).

1.12. Minute means the unit of a plan's limit, equal to one minute of the duration of a Recording submitted for processing.

1.13. Billing Period means one month, or one year for annual billing, starting on the payment date.

1.14. Consumer means a User who is an individual using the Service solely for personal, family, household or other needs not related to business activities.

2. Subject matter and acceptance

2.1. We give you access to the Service and provide the following services: we receive and store Recordings, process them (recognise speech and produce transcripts and meeting notes), store Results and give you access to Materials, including playback of the original Recordings. Available features depend on your plan and channel.

2.2. These Terms are a public offer under Article 437 of the Civil Code of the Russian Federation (the "Civil Code"). You accept them in full and without reservation (Article 438 of the Civil Code) when you create an Account and confirm your acceptance during sign-up. A company or sole entrepreneur may also accept these Terms by paying our invoice.

2.3. The Service is for people aged 18 and over. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to do so.

2.4. The Data Processing Instruction (https://aigenda.tech/en/dpa) and the plans published at https://aigenda.tech/en form part of these Terms. We describe how we process your personal data in the AiGenda Privacy Policy (https://aigenda.tech/en/policy, the "Privacy Policy").

2.5. We may change these Terms. We publish the new version on the website and notify you of it at your Account e-mail and in the Service at least 10 calendar days before it takes effect. Changes that the law requires or that do not make your position worse may take effect sooner.

2.6. Changes that the law requires or that do not make your position worse apply from the effective date of the new version. Other changes apply to you only after you accept the new version by clicking the button in the Service, by paying for a Billing Period that starts after its effective date by invoice or manually in the Service, or by submitting a new Recording after that date; an automatic charge under Section 6.4 does not constitute acceptance. Downloading Materials, requesting deletion of your Account or terminating these Terms does not constitute acceptance. Until you accept the new version, the previous version applies to you, and we may terminate these Terms under Section 10.3(d). If you do not agree with a new version, you may terminate these Terms under Section 10.2.

2.7. We may engage third parties to provide the services under these Terms (Article 780 of the Civil Code).

3. Account and channels

3.1. You sign up with your e-mail address. Keep your password, tokens and access keys secret; you are responsible for any actions taken using them. Tell us if you lose control of your Account.

3.2. Telegram bot. You link your Telegram account to your Account. Files you send to the Telegram bot become Recordings, and the Telegram bot returns Results to the same chat.

3.3. Extension. We grant you a free, non-exclusive licence to install and run the Extension in your browser for its intended purpose, worldwide, for the term of these Terms. The Extension starts recording only on your action and records only the tab in which you started the recording. Until you confirm that you have notified the Meeting Participants, the recording stays only on your device: we have no access to it and are not responsible for its safekeeping.

3.4. Bot. You send the Bot a meeting link or, through an Integration, enable the Bot for meetings from your calendar. The Bot joins as a separate participant and is visible in the participant list. The meeting organiser or the video-conferencing platform may refuse to admit the Bot or may remove it; in that case, no Recording is created or the Recording is incomplete. Send the Bot only to meetings that you attend yourself or that the organiser has authorised you to record, and comply with the platform's rules.

3.5. Integrations. The Service uses access obtained through an Integration only for the features you turn on. You can disconnect an Integration at any time in the Service settings or in your Google or Yandex account. You must comply with the terms of the third-party service.

3.6. Team Workspaces. Any User may create a Team Workspace. When you create one, you specify its owner (yourself, or a company or sole entrepreneur on whose behalf you act) and enter the owner's details (name, INN, OGRN or OGRNIP). We do not verify these details. By naming a company or sole entrepreneur as the owner, you represent to us that you are authorised to act on its behalf (Article 431.2 of the Civil Code). If you are not so authorised, these Terms are deemed concluded with you personally in respect of that Team Workspace until the named owner approves your actions; payment by the named owner of an invoice for that Team Workspace constitutes approval (Article 183 of the Civil Code).

The owner of a Team Workspace decides who gets access and with what permissions; members see Materials within those permissions. Members add Materials to a Team Workspace on the owner's behalf. The owner has access to all Materials in the Team Workspace, including those added by members, and can view, download and delete them. When a member leaves or is removed, the Materials they added remain in the Team Workspace. If the owner is a company or sole entrepreneur, the Users it invites act in the Team Workspace on its behalf, and the owner is the operator (controller) of the personal data in the Team Workspace's Materials.

3.7. The Service produces Results automatically, using speech recognition and language models, so Results may contain errors, omissions and inaccuracies, including in names, numbers and decisions. Results are not professional advice. Check Results before relying on them.

3.8. We may suspend the Service for maintenance and to remedy failures. Some channels depend on third-party platforms (video conferencing, Telegram, Google, Yandex, browsers) that we do not control.

4. Recording meetings

4.1. You decide which meetings to record and process in the Service and what information to disclose in them, and you are responsible for ensuring that the recording and processing are lawful. We do not review the content of Recordings. Before or at the start of recording, you must:

a) inform the Meeting Participants that the meeting is being recorded and processed in AiGenda to produce a transcript and meeting notes;

b) obtain the Meeting Participants' consent where required by law, by your employer's or the meeting organiser's rules, or by the video-conferencing platform's terms;

c) not record covertly, and not use the Service to obtain information constituting a secret protected by law that you are not authorised to access.

4.2. The reminder and ready-made notice in the Extension help you comply with Section 4.1 but are not a substitute for compliance. The Bot does not notify Meeting Participants of the recording; the Bot's presence in the participant list is not a notice under Section 4.1(a).

4.3. By submitting a Recording, you represent to us that you have complied with Section 4.1 and have a legal basis to process Meeting Participants' personal data, including information about health, intimate life, racial or ethnic origin, political opinions, or religious or philosophical beliefs if the Recording contains such information (Article 431.2 of the Civil Code; Articles 9(8) and 10 of Federal Law No. 152-FZ "On Personal Data" of 27 July 2006 (the "Personal Data Law")). You will compensate us for losses caused by your breach of Section 4.1 or by the inaccuracy of this representation, including amounts we pay under third-party claims.

4.4. If someone tells us that a Recording or Results infringe their rights, we forward the complaint to your Account e-mail and may immediately disable access to that Recording and those Results via sharing links. If you do not confirm the grounds for the recording and processing within 10 business days of our forwarding the complaint, we may block that Recording and those Results. We destroy them on your instruction, under a court decision or at the request of a public authority and, where we process the data as the operator (Section 2.3 of the Privacy Policy), also in the cases and within the time limits set by Article 21 of the Personal Data Law. Such actions do not breach these Terms.

5. Materials

5.1. The rights to Materials belong to you or to third parties. You grant us, free of charge, the right to store, reproduce and adapt Materials solely to provide the Service to you and only for as long as we store them.

5.2. We use Materials only to provide the Service to you: we do not sell them or use them for advertising or to develop, train, fine-tune or improve machine learning or artificial intelligence models. We keep Materials confidential and disclose them only in the cases listed in Section 6.1 of the Privacy Policy. Section 4.3 of the Privacy Policy sets out when our staff may access Materials; that provision constitutes our obligation under these Terms.

5.3. You are responsible for access to Materials that you grant yourself: by sharing your password, through Team Workspace membership and through sharing links.

6. Plans and payment

6.1. The FREE plan is free of charge and includes 150 Minutes in total.

6.2. The fee for a paid plan is a subscription fee (Article 429.4 of the Civil Code) for the right to process Recordings within the plan's Minute limit in a Billing Period; it does not depend on how many Minutes you use. Plan names, prices and limits are published at https://aigenda.tech/en and in your Account. Prices are in Russian roubles and exclude VAT because we are exempt from VAT taxpayer obligations under Article 145(1) of the Russian Tax Code. Your payment obligation is fulfilled when the funds are credited to our account. Unused Minutes do not carry over to the next Billing Period. For annual billing, the Minute limit is granted for the whole Billing Period. We may offer a company or sole entrepreneur a custom plan: its price, Minute limit and Billing Period are set out in our commercial proposal and invoice, and these Terms govern everything else. Every paid plan, including a custom plan, has a Minute limit.

You may switch to another plan or pay for your current plan again at any time. Doing so means paying for a new Billing Period at the full price of the chosen plan: the new Billing Period and the new Minute limit start on the payment date, unused Minutes from the previous Billing Period are cancelled, and the fee paid for the previous Billing Period is neither credited towards the new plan nor refunded, except as provided in this paragraph. If you used no Minutes in the previous Billing Period (for example, because you paid for a plan by mistake), we will, at your request sent to info@aigenda.tech and at your choice, refund the fee for that period or credit it towards the new plan. A Consumer may also request a refund of the fee for the previous Billing Period under the rules of Section 6.8 applied to that period; access to the new plan continues.

6.3. We deduct Minutes when processing of a Recording starts, based on its duration rounded up to the nearest whole minute. If the Service does not produce meeting notes for a Recording for any reason, including a damaged file, no speech in the Recording or a Service error, we return those Minutes.

6.4. By subscribing with payment by card, you agree to automatic charges for each subsequent Billing Period; this is stated when you choose a plan and on the payment provider's payment page. The subscription renews automatically for the next Billing Period until you opt out of automatic charges in your Account settings or by e-mail to info@aigenda.tech. You enter your card details directly with the payment provider; we do not receive or store them, and for automatic charges we use only the payment method token stored by the provider. After you opt out, we initiate no further charges using that token, and your plan remains active until the end of the paid Billing Period.

6.5. A company or sole entrepreneur that owns a Team Workspace may pay for that Team Workspace's subscription by invoice, monthly or annually, until it cancels the subscription in the Account settings or by e-mail. We issue invoices based on the details entered when the Team Workspace was created (Section 3.6); paying an invoice activates the plan for that Team Workspace only. For each paid Billing Period, we send a universal transfer document (UPD) through the Diadoc electronic document exchange system. If you do not send reasoned objections within 5 business days of receiving the UPD, the services are deemed accepted.

6.6. Price changes do not affect a Billing Period that has already been paid for. A new price applies from the next Billing Period if we notified you of it at your Account e-mail at least 10 calendar days before that period starts. For card payments, we charge the new price only if you confirm it in the Service; without confirmation, the subscription does not renew (Section 6.7).

6.7. If we do not receive payment for the next Billing Period, including because an automatic charge fails, the subscription ends, and we make no further attempts to charge you. The Account is not switched to the FREE plan: processing of new Recordings and other paid-plan features are unavailable until you pay for a new Billing Period, but your Materials remain available for viewing and downloading.

6.8. You may cancel your paid plan and request a refund at any time by e-mailing info@aigenda.tech from your Account e-mail. If you only want to stop automatic renewal, opt out of automatic charges under Section 6.4: your plan then remains active until the end of the paid Billing Period, and no refund is made.

Only the most recent payment, made for the current Billing Period, is refundable. Payments for earlier Billing Periods are non-refundable. The refund amount is:

a) if you have not used any paid-plan Minutes in the current Billing Period, the full amount of the most recent payment;

b) if you have, the amount of the most recent payment minus the cost of the Minutes used in that Billing Period. The cost of one Minute equals the amount of the most recent payment divided by the Minute limit granted for the Billing Period covered by that payment. Minutes returned under Section 6.3 do not count as used.

Access to paid-plan features and automatic renewal stop from the date of your request. We make the refund within 10 calendar days of your request, using the original payment method.

7. Intellectual property

7.1. We own the exclusive rights to the Service, the Extension, the Bot and the AiGenda brand. These Terms do not transfer those rights to you, except for the licence granted in Section 3.3.

7.2. To the extent the Results are protected by law, the rights in them belong to you. We claim no rights in the Results, other than the right you grant us under Section 5.1, and do not restrict your use of the Results you receive: you may use them at your own discretion for personal and commercial purposes, including by distributing them, sharing and showing them to third parties, and adapting them. You are solely responsible for respecting the rights of the people whose information or works are contained in the Recording.

8. Prohibited use

8.1. You must not:

a) record meetings or submit Recordings in breach of Section 4.1;

b) upload content whose distribution is prohibited by law, or information constituting a state secret;

c) circumvent the Service's limits and technical restrictions, access the Service by automated means other than through the API, or create a load that disrupts the Service;

d) give others access to your Account, except through a Team Workspace;

e) modify, decompile or distribute the Extension or other Service software, except as permitted by law.

8.2. If you breach Section 8.1, we notify you at your Account e-mail and give you at least 5 business days to remedy the breach. Without prior notice, we may: for a breach of Section 8.1(a) or (b), restrict access to the Recordings and Results concerned under Section 4.4; for a breach of Section 8.1(c) or a threat to the security of the Service, suspend uploads of new Recordings and API access for as long as needed to remedy the breach or remove the threat. We inform you of the reason immediately afterwards. While access is suspended, you can still download your Materials, except those restricted under Section 4.4.

9. Liability

9.1. For Users that are companies or sole entrepreneurs:

a) the Service is provided "as is", and we do not warrant that it fits your purposes;

b) we are not liable for lost profits;

c) our total liability is limited to your fees attributable to the 3 months preceding the breach; for annual billing, one-twelfth of the annual fee is attributable to each month;

d) these limitations do not apply to an intentional breach (Article 401(4) of the Civil Code);

e) we are not liable if recording or processing is impossible or incomplete because of actions or failures of the third-party platforms referred to in Section 3.8, unless those actions or failures are caused by our actions; the third parties we engage under Section 2.7 are not third-party platforms for the purposes of this subsection.

9.2. Neither party is liable for failure to perform or improper performance of its obligations caused by force majeure (Article 401(3) of the Civil Code). For Users that are companies or sole entrepreneurs, force majeure also includes decisions of public authorities restricting access to third-party platforms. A party affected by such circumstances must notify the other party within a reasonable time.

10. Term and termination

10.1. These Terms remain in force indefinitely.

10.2. You may terminate these Terms at any time by sending a request to delete your Account from your Account e-mail to info@aigenda.tech. Refunds are made under Section 6.8.

10.3. We may unilaterally terminate these Terms by notice sent to your Account e-mail at least 10 calendar days in advance or, in cases (b)–(d), at least 30 calendar days in advance:

a) if you have not remedied a breach within the period set under Section 8.2;

b) if we discontinue the Service;

c) if the Account has had no sign-ins and no payments for 12 months;

d) if you have not accepted a new version of these Terms (Section 2.6).

We refund fees under Section 6.8; we compensate other losses caused by the termination only if you are not a company or sole entrepreneur. Until termination, you can download your Materials using the Service's features, except those restricted under Section 4.4.

10.4. After termination, we destroy your Account and Materials within the period set out in Section 3.3 of the Privacy Policy.

11. Notices and disputes

11.1. Send notices to us at info@aigenda.tech. We send notices to you at your Account e-mail or in the Service.

11.2. You may send a claim to info@aigenda.tech or by post to our address listed in the Unified State Register of Legal Entities. We respond to claims within 10 calendar days.

11.3. These Terms are governed by Russian law. Disputes with companies and sole entrepreneurs are resolved by the Arbitrazh Court of Saint Petersburg and the Leningrad Region after the pre-trial claim procedure; a dispute may be referred to the court 10 calendar days after the claim is sent. Disputes with Consumers are resolved by the court that has jurisdiction under Russian law.

12. Final provisions

12.1. These Terms are drawn up in Russian. This English translation is provided for convenience; if the texts differ, the Russian text prevails.

12.2. If any provision of these Terms is held invalid, the remaining provisions remain in force.
